1. Acceptance of Terms
By accessing or using any services provided by Juridion AI ("we," "our," or "us"), including AI Discovery Drafter, AI Witness Organizer, and CompensateAI (collectively, the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree to these terms, do not use our Services.
2. Description of Services
Juridion AI provides AI-powered legal technology tools:
- AI Discovery Drafter: Automated drafting of California-compliant discovery responses, including interrogatories, requests for production, and requests for admission.
- AI Witness Organizer: AI-powered extraction and organization of witness information from case documents.
- CompensateAI: Partner compensation and fee allocation middleware that integrates with Clio practice management software.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. User Accounts
Account Creation
To use our Services, you must create an account by connecting via Clio OAuth or registering directly. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
Eligibility
You must be at least 18 years old and a legal professional or authorized representative of a law firm to use our Services.
4. Subscription & Billing
Pricing
Our Services are offered on a subscription basis. Current pricing is displayed within each application and on our website. Prices are subject to change with 30 days' notice.
Free Trial
New users may be eligible for a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled.
Billing
- Subscriptions are billed monthly or annually in advance
- Payments are processed securely via Stripe
- All fees are non-refundable unless otherwise stated
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until then. To cancel, contact support@juridionai.com or use the cancellation option in your account settings.
5. Clio Integration
Our Services integrate with Clio practice management software. By connecting your Clio account:
- You authorize us to access the Clio data scopes you approve during OAuth
- You confirm you have authority to grant this access for your firm
- You may revoke access at any time from your Clio account settings
We are not affiliated with Clio. Your use of Clio is governed by Clio's own terms of service.
6. Intellectual Property
Our Property
The Services, including all software, designs, text, and trademarks, are owned by Juridion AI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Services.
Your Content
You retain ownership of all documents, data, and content you upload to our Services ("Your Content"). You grant us a limited license to process Your Content solely to provide the Services.
Generated Output
Documents and outputs generated by our AI tools based on Your Content belong to you. However, you are solely responsible for reviewing, verifying, and using such outputs appropriately.
7. AI-Generated Content Disclaimer
IMPORTANT: AI-generated content is provided for informational and drafting assistance purposes only. It does not constitute legal advice.
No Attorney-Client Relationship
Use of our Services does not create an attorney-client relationship between you and Juridion AI. We are a technology company, not a law firm.
Professional Responsibility
You acknowledge that:
- All AI-generated drafts, analyses, and outputs require review by a licensed attorney
- You are responsible for verifying the accuracy and appropriateness of all content
- AI may produce errors, omissions, or content that is not suitable for your specific situation
- Compliance with professional responsibility rules is your sole responsibility
CompensateAI Calculations
CompensateAI uses deterministic, audit-grade code for all financial calculations. AI is used only for parsing fee agreement text and generating explanatory context. You should still verify all calculations before relying on them for compensation decisions.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Upload malicious files or attempt to compromise our systems
- Share your account credentials with unauthorized users
- Attempt to access other users' data
- Use the Services to generate fraudulent or deceptive content
- Circumvent usage limits or restrictions
- Resell or redistribute the Services without authorization
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Juridion AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you upload or generate using the Services
11. Termination
We may suspend or terminate your access to the Services at any time if:
- You violate these Terms
- Your payment fails and is not resolved within a reasonable time
- We are required to do so by law
- We discontinue the Services
Upon termination, your right to use the Services ceases immediately. You may request a copy of your data within 30 days of termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.
You agree to waive any right to a jury trial or to participate in a class action.
